The Platform is intended for use by small and medium-sized enterprises (SMEs) seeking sustainability services and individuals aged 18 or older. By using the Platform, you state that you meet these requirements.

Purpose and Nature of Services

Wadi provides SMEs with access to independent expert advice, resources, and procurement support to assist in sustainable business practices.

Experts listed on Wadi’s platform are independent consultants and not employees, agents, or representatives of Wadi.

Any advice received through Wadi is general in nature and should not be considered a substitute for professional legal, financial, or regulatory advice.

User Responsibilities and Acknowledgments

The SME acknowledges and agrees that:

  • Experts provide general guidance only and do not offer guarantees of results.

  • All decisions and actions taken based on expert advice are at the SME’s own risk.

  • Wadi does not endorse, validate, or verify the accuracy of the advice given by Experts.

  • The SME is responsible for conducting its own due diligence before acting on any recommendations.

  • If an SME requires formal legal, financial, or technical validation, it must seek professional advice outside of Wadi.

3. Account Registration

To access certain features of the Platform, including 1-hour phone consultations and procurement services, you will be required to register an account. You agree to:

  • Provide accurate, current, and complete information during the registration process.

  • Maintain and promptly update your account information to keep it accurate, current, and complete.

  • Maintain the security and confidentiality of your account password and not share it with any third party.

4. Services Offered

Wadi offers various services, including but not limited to:

  • 1-Hour Phone Consultations: Access to expert consultations via vide conferencing.

  • Procurement Services: Assistance in procuring sustainable products and services through our network of suppliers.

  • Membership Benefits: SMEs gain access to tools, templates, and other resources designed to aid their sustainability journey.

5. Membership Fees and Payments

  • Annual Membership Fee: Access to the Platform requires an annual membership fee, payable on the annual renewal date of your registration. The fee amount will be specified on the Platform at the time of registration and may vary depending on your selected package.

  • Payment: You agree to pay the annual membership fee in advance via the payment methods specified on the Platform (e.g., credit card, bank transfer, direct debit). All fees are quoted in GBP unless otherwise stated.

  • Renewal: Your membership will automatically renew annually unless you provide notice of cancellation at least 30 days before the renewal date. You authorise Wadi to charge the membership fee to your specified payment method on the renewal date.

  • Failure to Pay: If payment is not received by the renewal date, your access to the Platform may be suspended until the membership fee is paid in full.

  • Refund Policy: Membership fees are non-refundable except as required by law or at Wadi's sole discretion.

6. Tools, Templates, and Other Membership Benefits

As part of the membership, SMEs gain access to tools, templates, and other resources provided by Wadi.

  • No Warranty: Wadi does not warrant the accuracy, completeness, or effectiveness of any tools, templates, or resources provided.

  • Disclaimer of Impact: The use of these resources is at the sole discretion of the SME, and Wadi makes no guarantees regarding the outcomes or impact of their use.

  • Updates and Changes: Wadi reserves the right to update, modify, or discontinue any tools, templates, or resources at its discretion without prior notice.

7. Use of Services

You agree to use the services provided by Wadi only for lawful purposes and in accordance with these Terms. Prohibited activities include, but are not limited to:

  • Mis-using the consultation services for purposes other than sustainability advice.

  • Engaging in fraudulent or misleading activities.

  • Using the procurement services to purchase items not related to sustainability.

Misuse of services may result in immediate suspension or termination of your account.

8. Transcription and Data Ownership

  • Call Transcriptions: Wadi reserves the right to transcribe all phone consultations conducted through the Platform. These transcriptions may be used for quality assurance, training, and service improvement purposes.

  • Data Ownership: All information shared during calls and collected through the Platform will be stored in Wadi's database and will remain the sole property of Wadi. Wadi retains full ownership and rights to use this information for its operations, including but not limited to service enhancements, analytics, and internal decision-making.

  • Confidentiality: While Wadi owns the data, it will take all reasonable steps to ensure the confidentiality of your personal and business information in accordance with our Privacy Policy.

9. Accuracy of Information

You state that all information you provide to Wadi is accurate, complete, and truthful. You agree to promptly update any information that becomes inaccurate, incomplete, or outdated.

Disclaimer: Wadi and its consultants provide information and advice based on the data and details you supply. Wadi is not liable for any inaccuracies, errors, or omissions in the information provided by its consultants. You acknowledge that reliance on any information or advice from Wadi and its consultants is at your own risk.

10. Projects and Impact Disclaimer

Wadi provides a platform to connect SMEs with experts and suppliers for sustainability-related projects. However:

  • Project Execution: Wadi is not responsible for the execution, implementation, or outcomes of any projects initiated through the Platform.

  • Project Impact: Wadi makes no guarantees regarding the environmental, financial, or operational impact of any project undertaken as a result of services provided through the Platform.

  • Third-Party Liability: Wadi is not liable for any actions, omissions, or performance of third-party suppliers, consultants, or service providers involved in your project.
    By using the Platform, you acknowledge and agree that all project-related risks are your sole responsibility.

11. Non-Disclosure of Confidential Information

  • Confidential Information: During your use of the Platform, you may receive confidential and proprietary information from Wadi or its experts. You agree to keep all such information confidential and not to disclose it to any third party without the prior written consent of Wadi.

  • Consultation Sessions: Information shared during consultation sessions is considered confidential. Both parties agree not to disclose any confidential information discussed during these sessions without the explicit consent of the other party.

  • Confidential information may be disclosed if required by law or court order.

12. Payment and Fees

Certain features of the Platform, such as consultations and procurement services, may be subject to additional fees. By selecting to use these features, you agree to:

  • Pay the applicable fees as described on the Platform.

  • Use accepted payment methods such as credit card or bank transfer.

13. Cancellation and Rescheduling

  • Phone Consultations: You may cancel or reschedule a consultation by providing at least 24 hours' notice. To do so, please use the reschedule feature via the platform. Failure to provide sufficient notice may result in forfeiture of the consultation fee.

  • Procurement Orders: Cancellations of procurement orders must be made in accordance with the terms specified at the time of purchase.

14. Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is the property of Wadi or its licensors and is protected by copyright, trademark, and other intellectual property laws. You agree not to reproduce, distribute, or create derivative works based on any content from the Platform without Wadi's express written permission.

15. Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Please review our Privacy Policy to understand our practices regarding your personal data.

16. Limitation of Liability

To the fullest extent permitted by law, Wadi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Platform.

  • Any unauthorized access to or use of our servers and/or any personal information stored therein.

  • Any interruption or cessation of transmission to or from the Platform.

  • Actions or omissions of third-party suppliers or service providers.

. The SME indemnifies and holds Wadi harmless from any claims, disputes, or legal proceedings related to:

  • Advice provided by an Expert.

  • Actions taken by the SME based on Wadi’s platform resources.

  • Any procurement decisions made through Wadi.

  • In the event of a dispute between an SME and an Expert, Wadi shall not be responsible for resolving the matter or providing compensation.

18. Changes to the Terms

Wadi reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Platform and, where possible, via email. Your continued use of the Platform after such changes have been posted constitutes your acceptance of the new Terms.

19. Termination

Wadi may terminate or suspend your account and access to the Platform at any time, with or without cause, and without notice or liability to you. Upon termination, your right to use the Platform will immediately cease.

20. Force Majeure

Wadi shall not be liable for delays or failures caused by events beyond its reasonable control, including but not limited to natural disasters, internet outages, strikes, or government actions.

21. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

22. Governing Law

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
